  • Proprietary Assets: All internal tools, frameworks, reusable code, and system architectures remain our intellectual property.
  • Client Deliverables: Once full payment is received, clients are granted a non-exclusive, perpetual license to use the custom-developed code created specifically for their project.
  • Usage Restrictions: Unauthorized copying, reuse, or distribution of our proprietary systems, patterns, or frameworks is not permitted.

3. Professional Use & Responsibilities

Clients and users agree to:

  • Provide accurate and complete technical requirements and business information.
  • Acknowledge and work within Agile methodologies and iterative development cycles.
  • Avoid any actions that may compromise the security, integrity, or performance of our systems.

4. Technical Disclaimer

We aim to deliver highly reliable and performant systems; however:

  • Third-party services (such as APIs and cloud providers) operate under their own terms and service levels.
  • System performance may vary based on external factors like network conditions and hardware environments.
  • Ongoing maintenance is necessary to ensure continued performance and stability over time.

5. Limitation of Liability

Our responsibility is limited to the scope outlined in individual project agreements. We are not liable for indirect damages, losses caused by third-party services, data issues outside our control, or downtime resulting from external factors.

6. Governing Law

These terms are governed by the laws of the Republic of South Africa. Any disputes will be handled through arbitration in Johannesburg.
